Terms of service

These terms cover imageyFX-360 - the visualiser at this address - and the optional AI tools inside it. Using either means you accept them.

1. Who you are dealing with

imageyFX-360 is operated by imageyAI Inc., a C‑corporation incorporated in the State of Delaware, United States ("we", "us", "our"). You can reach us at hello@imagey.ai.

In these terms, "the service" means the imageyFX-360 web application, this website, and any tool or feature we make available through them.

2. The service

imageyFX-360 is browser software that draws live visuals in response to audio and can record them to a video file. The visual side is free to use and requires no account. A subscription unlocks the optional AI tools, which generate artwork, shapes, grid packs and lyric subtitles.

Nothing in the free visualiser depends on a subscription.

If you never subscribe, every layer, preset, effect, emblem and the recorder keep working exactly as they do now.

3. Your account

You only need an account to store artwork in our library or to use the AI tools. Accounts are created by signing in with Google; we do not issue or hold passwords of our own.

You are responsible for activity under your account. Tell us at hello@imagey.ai if you believe someone else has access to it. You must be old enough to form a binding contract where you live, and at least 13, to hold an account.

4. What you may not do

You agree not to:

  • upload, generate or display material that is unlawful, that infringes someone else's rights, or that sexualises children;
  • use the service to harass, defame or impersonate anyone, or to produce material that does so;
  • load audio, artwork or text you do not have the right to use - see section 5;
  • attempt to break, overload, probe or circumvent the service, its rate limits, its metering, or its payment controls;
  • resell, sublicense or run the service on someone else's behalf as a bureau without our written agreement;
  • automate, script or otherwise drive the AI tools other than through the interface we provide. See the Fair usage policy.

We may suspend or close an account that breaks these rules. Where the breach is not serious and can be put right, we will normally tell you first.

5. Your content

You keep ownership of everything you bring. Artwork you upload, tracks you load and text you type remain yours.

You grant us a limited licence to store, process and transmit that material for one purpose only: running the service for you. That licence lasts as long as you keep the material in your library and ends when you delete it. It does not let us publish your material, show it to other users, use it to promote imageyFX-360, or train models on it.

You are responsible for having the rights to what you load. That includes music: playing a commercial track through the visualiser for your own viewing is one thing, and publishing or broadcasting a recording of it is another. Clearing those rights is your responsibility, not ours.

6. AI output

The AI tools send your prompt - and, for subtitles, your audio - to third‑party providers and return what those providers generate. As between you and us, you may use that output freely, including commercially, subject to those providers' own terms and to the rest of these terms.

Generative models are not deterministic and are not exclusive. Two people giving similar prompts may get similar results, and we cannot promise that anything generated is original, unencumbered or fit for any particular purpose. You are responsible for checking output before you publish it.

Our current providers are OpenAI and Anthropic. We may change them. What is sent, and when, is set out in the Privacy policy.

7. Subscriptions and payment

Paid tiers are billed monthly in advance through Stripe. Prices are shown in US dollars; Stripe may present a converted amount at checkout, and your bank's rate and any foreign‑transaction fee are between you and them.

A subscription renews automatically each month until you cancel. You can cancel at any time from the AI tab in the app, which opens the Stripe billing portal. Cancelling stops the next renewal; your paid features stay available until the end of the period you have already paid for.

You can move up a tier at any time from the AI tab. These plans are sold as a monthly allowance rather than as a number of days, so an upgrade is credited on what you have not spent rather than on the time left in the month: the unused share of your current allowance is valued at that same share of your current tier's price, and comes off the new one. The change takes effect immediately, the new tier is billed there and then, and your usage meter restarts - allowance that has just been bought back cannot also carry over. The app shows you the exact figure before you confirm it.

The app moves you up only. To move to a cheaper tier, cancel in the billing portal and subscribe again at the lower price when the period you have paid for ends, or write to us and we will arrange it.

We may change prices. If we do, we will give you at least 30 days' notice by email before it affects a renewal, and you can cancel before then. Refunds are covered by the Refund policy.

Paid tiers are described as unlimited and are metered against a fair usage policy. That policy forms part of these terms.

8. Availability

We do not promise the service will be uninterrupted. We may change, suspend or withdraw features, and we may take the service down for maintenance. If we discontinue a paid feature entirely, we will refund the unused part of the period you have paid for.

Some parts depend on third parties - Google, Stripe, OpenAI, Anthropic - and on your own browser and hardware. We are not responsible for their outages.

9. No warranty

The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non‑infringement.

The visualiser produces rapid changes in brightness and colour. If you have photosensitive epilepsy, or are showing it to an audience that may include someone who does, use it with appropriate care.

10. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost goodwill, however caused.

Our total liability arising out of or relating to the service is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose and (b) one hundred US dollars.

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow some of these exclusions, in which case they apply to you only as far as that jurisdiction permits.

11. Indemnity

You agree to indemnify us against claims, losses and reasonable legal costs arising from material you upload, generate or publish through the service, or from your breach of these terms.

12. Ending it

You can stop using the service at any time, and ask us to delete your account and its contents by writing to hello@imagey.ai. We may terminate or suspend your access if you breach these terms, or if we stop offering the service. Sections 5, 9, 10, 11 and 14 survive termination.

13. Changes to these terms

We may update these terms. The date at the top always says when. If a change materially reduces your rights, we will give reasonable notice - by email to subscribers, and on this site - before it takes effect. Continuing to use the service after that is acceptance.

14. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules, and the state and federal courts located in Delaware have exclusive jurisdiction.

If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence, or of the right to bring proceedings there where that law gives it to you.

15. General

If any provision is found unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not assign these terms; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These terms, together with the Privacy policy, the Refund policy and the Fair usage policy, are the entire agreement between us about the service.
